Online Selling Policy

This online selling policy (Policy) applies you, the entity selling or distributing Tropeaka Products. You accept this Policy by purchasing Tropeaka products from Tropeaka (us).

• 1. Website: You may only sell Products from your own branded website (Your Website) (third party online marketplaces such as Amazon, Catch, Kogan, MyDeal and eBay, or any other website that is not your own, are not permitted). When selling on Your Website, you must use the Branding or other marketing material provided by us, and only advertise in a manner consistent with our approach to sales and marketing as notified by us or Tropeaka to you from time to time.
• 2. Territory: You may only sell Products to consumers in the Territory. You may not sell or ship Products to any address outside of the Territory.
• 3. Product Representation: Any Products advertised and/or offered for sale by you must be prominently displayed on Your Website and you may only use marketing material provided by us. You are responsible for requesting authentic and up-to-date marketing material from your Global By Nature representative. The marketing material you use must correspond to the Products advertised on Your Website. At our request, you must promptly amend, edit or remove any marketing material relating to the Products.
• 4. You may not sell Tropeaka products via Google Ads, Google Shopping or any paid advertising on any alternate search engine.
• 5. Minimum Standards: Your Website must meet the following minimum standards or contain the following elements (as applicable): (a) a clear graphical design, with quality graphic presentation and adequate search and navigation capabilities including a search tool for Products;
(b) all content necessary for your consumers to make a decision to buy, including up-to-date Branding and marketing material; (c) a disclaimer advising your consumers that they are purchasing their Products from an ‘Approved Tropeaka e-Retailer’ (or similar) and not from Tropeaka directly, and that, to the maximum extent permitted by law, all conditions of sale such as guarantees, shipping procedures, return policies and pricing are governed by your terms and conditions; and (e) you must not promote, sell or display any product, service or material that could bring Tropeaka’s name or brand into disrepute, including the promotion or sale of counterfeit goods, dangerous or harmful products, substances or services or the display of illegal, offensive or inappropriate content.
• 6. Inventory: You accept sole responsibility for maintaining adequate inventory of all Products represented for sale on Your Website.
• 7. Sales: Any sales involving the Products may only run for the Approved Sale Length, unless otherwise agreed to in writing by us.
• 8. Termination: We may suspend or terminate your authorisation to market, promote and sell the Products via Your Website, where you do not comply with any term of this Policy.
• 9. Variation: We may, from time to time, amend this Policy, by providing written notice to you.
• 10. Precedence: In the event of any conflict between any agreement to which this Policy is attached, and this Policy, this Policy will prevail.
